Seller Agreement

1. Agreement and seller capability

This Seller Agreement applies when you activate a seller store on ITZCULTURE. Your seller store is an additional capability on the same ITZCULTURE account you may also use to shop, create, or participate in wholesale. Activating a store requires an authenticated acceptance of this Agreement. If you do not accept it, you may continue using other eligible account features but may not operate a seller store.

2. Independent business relationship

You operate your store as an independent business and are not an employee, agent, partner, or representative of ITZCULTURE. You remain responsible for your products, listing accuracy, product safety, required business information, seller specific tax reporting and income obligations, and compliance obligations that apply to your business.

3. Listings and catalog rules

Sellers may list only products permitted by ITZCULTURE policy. ITZCULTURE controls platform Categories, Attributes, Cultures, tax classifications, and approved product option types. Sellers choose from those approved values and may not create new platform taxonomy. Listings must accurately describe the item, condition, materials, dimensions or other required Category details, available inventory, variants, fulfillment requirements, and material defects.

4. Marketplace fee

The standard retail marketplace commission is 8% of the product subtotal, excluding shipping and tax, unless ITZCULTURE and the Seller have an explicit approved seller specific commercial agreement. Seller verification, badges, program status, or employee roles do not silently change the commission rate. Any optional promotion or separately priced service must show its terms before the Seller accepts it.

Payment processing costs and other provider charges, if applicable, are separate and are reflected in transaction or payout records.

5. Payouts and reserves

Seller payouts require an eligible connected payout account and completion of required identity or business verification. Available balances, pending balances, holds, refunds, disputes, and adjustments are shown in Seller Center. ITZCULTURE may delay or hold a seller payable amount when an order is disputed, refunded, subject to fraud or compliance review, or when the payout account is not ready. Financial institutions and payment providers control the final timing of funds after a release is initiated.

6. Shipping and fulfillment

Sellers configure a ship from location, processing time, shipping rule, optional free shipping threshold, and package information in Seller Center. Product listings inherit those store settings unless an approved product specific setting applies. Sellers must ship within the processing time shown to the buyer, use accurate package information when carrier pricing is requested, and provide valid tracking when required. A seller may not advertise a shipping service or delivery promise the seller cannot reasonably fulfill.

7. Returns, refunds, and Buyer Protection

Eligible noncustomized items are subject to the ITZCULTURE standard return window shown to the buyer, currently 30 days from documented delivery, unless a Category rule or clearly disclosed eligible exception applies. Product pages must show return eligibility before purchase. Sellers may offer a more generous policy but may not use a store policy to remove an applicable ITZCULTURE Buyer Protection remedy.

Returns are item level when supported by the order. Return shipping responsibility depends on the reason, listing terms, Category rules, and applicable policy. Issues such as non delivery, materially inaccurate listings, wrong items, counterfeit goods, or qualifying damage may be reviewed through Buyer Protection independently of a discretionary return.

8. Taxes

ITZCULTURE determines checkout tax treatment using the Platform's configured tax settings, registrations, transaction data, and Category tax classification where the Platform is responsible for collection. Sellers must provide accurate business and product information needed for that calculation. Sellers remain responsible for seller specific income, reporting, registration, or other tax obligations that are not expressly handled by the Platform for a transaction. Nothing in this Agreement should be read as a promise that ITZCULTURE collects or remits every tax in every jurisdiction.

9. Employees and account access

A store owner may invite employees using ITZCULTURE's approved seller team roles and permissions. Employees must use their own accounts. The owner remains responsible for team access and for promptly removing people who no longer require access. Ownership transfer, payout setup, banking controls, team administration, and other owner only actions remain restricted even when an employee has a broad operational role.

10. Buyer communications and marketplace safety

Seller communications must use the marketplace tools when required by policy. Sellers may not use messaging to evade marketplace fees, move protected transactions off platform, harass users, collect unnecessary sensitive data, or interfere with reporting and Buyer Protection workflows. Sellers must cooperate with legitimate order, return, dispute, counterfeit, safety, or chargeback reviews and provide requested evidence.

11. Verification, restriction, and suspension

Creating a store does not guarantee publishing access. Products may remain in Draft until seller verification, payout onboarding, shipping readiness, and applicable listing requirements are satisfied. ITZCULTURE may restrict a capability, remove a listing, pause payouts, or suspend seller access for policy violations, fraud or safety concerns, unresolved verification requirements, legal obligations, or material marketplace risk. Where appropriate, the affected user will receive the status and available next step in the account.

12. Policy changes and records

The version accepted when a seller capability is activated is recorded by the Platform. Material updates may require notice or renewed acceptance when appropriate. Continued use remains subject to the current Terms, Privacy Policy, Return Policy, Buyer Protection rules, and other policies that apply to the activity.
