Wholesale Terms

1. Scope

These Wholesale Terms apply to two separate capabilities on an ITZCULTURE account: Business Buying and Wholesale Supply. A user may hold either or both capabilities in addition to shopping, retail selling, or creator access. Approval of one capability does not automatically approve another.

2. Business Buying

An approved Business Buying account may browse eligible wholesale inventory, submit sourcing requests, communicate with suppliers, place eligible wholesale orders, manage business addresses and team access, and review quotes or invoices made available through the Platform. Business verification may be required before restricted purchasing, tax treatment, credit, or payment terms become available.

3. Wholesale Supply

An approved Wholesale Supplier may enable eligible physical products for wholesale using the same governed product taxonomy as retail. A product appears in wholesale discovery only when the supplier has explicitly configured real wholesale terms such as minimum order quantity and approved tier pricing. ITZCULTURE does not invent wholesale discounts for ordinary retail products.

4. Product, MOQ, and pricing terms

The product page or accepted quote controls the product, MOQ, tier price, lead time, packaging information, shipping terms, and other commercial details shown for that transaction. A quantity change can move the order into a different pricing tier. Custom terms are binding only when recorded through the applicable ITZCULTURE quote, order, or approved amendment workflow.

5. Purchase orders, payment, and credit

A submitted purchase order or wholesale checkout request is subject to inventory, account eligibility, payment approval, supplier acceptance where required, and any stated commercial terms. Credit limits and payment terms are account specific and are not promised merely because a business account is approved. Failed or overdue payments may restrict future Business Buying access.

6. Shipping, lead time, and inspection

Suppliers must provide accurate processing or lead times and fulfill accepted orders according to the terms presented for that order. Business buyers should inspect deliveries promptly and use the Platform's order, message, return, or sourcing tools to report shortages, damage, or discrepancies. Wholesale shipping, cancellation, and return rules can differ from retail and must be shown before the relevant commitment.

7. Returns and disputes

Wholesale returns and cancellations follow the supplier terms, accepted quote or purchase order, applicable ITZCULTURE wholesale rules, and applicable law. Retail consumer return rules should not be assumed to apply to a business wholesale transaction. A buyer or supplier may use the available dispute or support workflow when the delivered transaction materially differs from the recorded terms.

8. Taxes and resale information

Business users and suppliers must provide accurate tax, resale, business, and address information when requested. Checkout tax treatment depends on the Platform's configured obligations, registrations, transaction data, and any valid exemption documentation accepted for the transaction. Each business remains responsible for tax obligations not expressly handled by ITZCULTURE for that transaction.

9. Teams and authorized users

Business and supplier team members must use their own accounts and may access only the capabilities granted to them. Account owners are responsible for team administration and for removing access that is no longer needed. Sensitive finance, ownership, payout, or team controls remain restricted according to the applicable workspace permissions.

10. Marketplace integrity

Users may not misrepresent products, business identity, inventory, pricing, authorization, resale rights, source, or fulfillment capability. Counterfeit goods, prohibited products, fraudulent sourcing requests, off platform fee evasion, or misuse of another business's data may lead to listing removal or capability restriction.

11. Capability review

ITZCULTURE may request additional information, approve, reject, restrict, or suspend Business Buying or Wholesale Supply independently based on verification, payment, compliance, safety, fraud, or marketplace risk. A wholesale decision does not by itself suspend an otherwise eligible retail seller store or buyer account.
